Scope and Definitions

1.1 Scope

These Terms of Service (hereinafter referred to as the "Terms") are entered into between you (hereinafter referred to as the "User") and the MatwingsVenus™ platform (hereinafter referred to as "Venus", "we", or the "Platform") regarding your use of products, services, software, and related features provided by the Platform. By registering, logging in, or otherwise using the services, you agree to these Terms and any updates thereto.

1.2 Components

These Terms, together with the Privacy Policy, billing rules, usage guidelines, community rules, and other supplementary agreements, constitute the complete agreement. Supplementary agreements may be updated and announced by the Platform from time to time. Continued use of the services indicates acceptance.

1.3 Definitions

Services refer to the online platform, website, APIs, SDKs, models, datasets, tools, documentation, and related technical and community services provided by Venus.

Output Content refers to any text, models, reports, data, or other results generated or exported through the Services.

Services and License

2.1 Service Description

Venus provides services including model training and inference, data management, AI agents, development tools, API access, documentation, and community support. The Platform may adjust service content based on business development and technological upgrades.

2.2 License

Subject to compliance with these Terms, Venus grants you a non-transferable, non-exclusive, revocable license to access and use the Services within the permitted scope for personal or authorized organizational purposes only. Without written permission, you may not resell, sublicense, or use the Services for competing commercial purposes.

2.3 Service Changes and Interruptions

Venus reserves the right to modify, suspend, or terminate all or part of the Services at any time. In cases such as maintenance, upgrades, third-party changes, or force majeure, the Platform may interrupt services and will make reasonable efforts to restore them, but shall not bear additional liability within the limits permitted by law.

Account Registration and Security

3.1 Registration Obligations

Users must provide truthful, accurate, and complete registration information and keep it updated. Users are responsible for the authenticity of their information.

3.2 Account Security

Users must properly safeguard their account credentials and are responsible for all activities conducted under their account. If unauthorized use or security risks are detected, users must promptly notify the Platform and cooperate in handling.

3.3 Account Usage Restrictions

Without written consent from Venus, users may not transfer, lease, lend, or authorize others to use their accounts. The Platform reserves the right to suspend or terminate accounts and require identity verification if abnormal or unauthorized activities are detected.

User Obligations and Prohibited Conduct

4.1 Compliance Commitment

Users agree to comply with applicable laws, regulations, industry standards, and platform rules, and shall not use the Services for illegal or improper purposes.

4.2 Examples of Prohibited Conduct

Publishing or distributing content that endangers national security, incites violence, hatred, or terrorism
Disseminating obscene, fraudulent, gambling, or other illegal information
Collecting, using, or disclosing personal information without authorization
Attacking, intruding, abusing systems, or spreading malicious code
Reverse engineering, decompiling, cracking, or copying platform services
Using the Services for biosecurity risks, hazardous activities, or threats to public safety
Developing competing products or services using generated outputs without permission

4.3 Enforcement Measures

Venus reserves the right to take actions including warnings, feature restrictions, content removal, suspension or termination of services, public disclosure of violations, and legal action. Users shall compensate for all resulting damages.

Content Management and Intellectual Property

5.1 Platform Rights

Venus and its licensors retain all intellectual property rights to platform software, interfaces, documentation, trademarks, models, and algorithms. Unauthorized reproduction, modification, reverse engineering, or commercial use is prohibited.

5.2 Ownership of User-Generated Content

Users retain ownership of output content generated through the Services. Users must ensure they have legal rights to uploaded materials and bear full responsibility for content legality. Any infringement claims shall be borne by the user, including compensation for damages to Venus and its affiliates.

5.3 Platform License

Users grant Venus a global, non-exclusive, royalty-free, sublicensable license to store, process, analyze, and display user data and generated content as necessary for service operation and optimization.

5.4 Attribution

When publicly displaying or commercializing generated content, users should acknowledge the Platform’s contribution. If required, users must indicate “Generated by Venus AI” or similar attribution. This does not affect ownership rights.

Privacy and Data Usage

6.1 Privacy Policy

Venus collects, stores, uses, and protects personal data in accordance with its Privacy Policy. Users must review and agree to it before using the Services.

6.2 Data Usage Scope

Unless we obtain your consent, we will not use the content you upload to the platform or the content you generate using this platform for training or optimization of MatwingsVenus™.

6.3 Third-Party Services

The Platform may integrate third-party tools. Users must comply with third-party terms, and Venus is not liable for third-party actions.

Disclaimers and Limitation of Liability

7.1 Service “As Is”

Services are provided “as is” without guarantees of accuracy, reliability, or uninterrupted availability, within legal limits.

7.2 Nature of Output Content

Generated outputs are for reference only and may contain errors. Users must independently verify results and should not rely on them as sole decision-making or professional advice.

7.3 Liability Cap

To the maximum extent permitted by law, Venus’s liability shall not exceed the total fees paid by the user in the past 12 months. If no fees were paid, liability shall be limited to the minimum required by law.

Changes, Termination, and Data Retention

8.1 Notice of Changes

Significant changes will be communicated via announcements or notifications. Continued use constitutes acceptance.

8.2 Termination

Users may request account deletion. Venus may retain necessary records for legal compliance. Serious violations may result in account termination and data deletion.

Data will be retained as required and deleted or anonymized when no longer needed.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China, unless otherwise required.

Minors must use the Services under guardian supervision, and guardians assume responsibility.
